Terms of trade

These terms apply to every wholesale order placed with Ruvelle Exports, a sole proprietorship owned by Gopal Swami in Surat, India (“we”, “us”). We sell to businesses only, not to consumers. Each order is confirmed in a quote or pro-forma invoice that sets out the styles, quantities, sizes, prices, delivery terms and dates; where it differs from these terms, the quote wins.

1. Ways to buy

  • Ready to ship: finished dresses from our current list, from 30 pieces mixed across styles. Stock is held only once your first payment arrives. These styles are not limited and may be sold to other buyers.
  • The edit: our own original prints, made to order, from 30 pieces (up to 3 prints × 10). See section 7 for limited runs.
  • Your label: your labels, tags and packaging on our dresses, or your own print or shape made for you after a paid sample. Minimums, set-up costs and dates are in your quote.

2. Samples

A sample pack costs £39 including delivery and contains three dresses in UK 10. It is paid in advance and is not refundable, but the full £39 is deducted from your first bulk order. Development samples for your own print or shape are quoted separately.

3. Orders and prices

  • An order is confirmed when we receive your first payment against our quote.
  • Prices are in pounds sterling and include delivery to your door (DAP) unless the quote says otherwise.
  • Prices exclude UK import VAT and any UK duty or courier charges, which are yours as importer (section 6).
  • Quotes are valid for 14 days.

4. Payment

50% when you confirm the order and 50% before dispatch, by bank transfer. We send photos and a video of your finished order before the second payment. Ownership of the goods passes to you once both payments are received.

5. Production, delivery and risk

Made-to-order production takes about 15 days from confirmation and delivery about 4 weeks door to door in total; ready-to-ship orders are usually dispatched within about a week of payment. Dates are estimates and we will tell you straight away if anything slips. Risk in the goods passes to you when they are delivered to the address in your order.

6. Duty, VAT and customs

Every invoice carries an origin declaration so that qualifying dresses enter the UK at 0% duty under the UK–India trade agreement, and we confirm each style’s duty status in writing before you pay. Under DAP terms you are the importer: you provide your EORI number and pay UK import VAT and any duty or courier clearance fees.

7. Limited runs

Each print in the edit is offered to 6 boutiques at most per season. Reserving a print holds one of those places for you for 14 days; once you order, the place is yours for that season. We don’t offer exclusivity on edit prints. Prints and shapes we develop for you under “Your label” are made only for you.

8. Changes and cancellations

You can change or cancel an order free of charge until fabric is printed or cut. After that, your first payment covers the work already done and is not refundable. Ready-to-ship orders can be cancelled before dispatch, less any costs we have already incurred.

9. Colour, quality and claims

Bulk prints are matched to your approved sample. Small variations in colour between dye lots, and between screens and fabric, are normal for printed textiles. If a dress arrives faulty or doesn’t match the approved sample, tell us within 7 days of delivery with photos, and we will credit or replace it.

10. Designs, labels and trademarks

Our prints, sketches and designs remain ours; buying dresses doesn’t transfer the rights to the artwork. When you send us your logo, label artwork, print or design, you confirm you have the right to use it and allow us to use it only to make your order.

11. Liability

Our total liability for any order is limited to the price you paid for it. We are not liable for indirect losses such as lost profit or lost sales. We are not responsible for delays caused by events outside our reasonable control, such as strikes, extreme weather, port or courier disruption, or government action.

12. Law and disputes

These terms are governed by the laws of India. We will always try to resolve a problem with you directly first; if we can’t, the courts of Surat, Gujarat have jurisdiction.
